Companies Fresh Start Scheme, 2020 (CFSS, 2020)

In order to facilitate all Companies to make a fresh start on a clean state, the MCA has taken certain measures to benefit those companies who have not filed Annual Return, Financial Statements and other statements or returns with the MCA on time (Defaulting Companies). The MCA has granted a one- time opportunity to complete all pending filings without the payment of Additional Fees.

CFSS, 2020 also facilitate an immunity certificate grating immunity from launching of prosecution or proceedings for importing penalty for delayed filings. MCA also facilitate inactive companies to file application for “Dormant Status” or “Strike off” along with CFSS, 2020.

Period of Scheme: 01st April 2020 to 30th September, 2020

Non applicability of Scheme: The Scheme Shall not apply to:-

1. Strike off Companies or filed Form STK-2 for Strike off

2. Amalgamate Companies

3. Dormant Companies or Filed Form MSC-1 for obtaining Dormant Status

4. Vanishing Companies

5. In respect of increase of Authorised Capital (Form SH-7) and Charge related forms (Form CHG-1, CHG-4, CHG-8 amd CHG-9)

Application for seeking immunity: To be filed along with Filing of Form CFSS, 2020 as annexure.

For Defaulting Companies: Need to file Form CFSS, 2020 after completion of pending e-filings.
